Loan Documentation School (Modular Course)

Description

This Loan Documentation School is made up of two separately bookable modules:

  • Loan Documentation School: Module 1- Loan Documentation (Day 1-3)
  • Loan Documentation School: Module 2 - Advanced Loan Documentation (Day 4-5)

'Loan Documentation' is a three day intensive course which covers the documentary aspects of a loan transaction, concentrating particularly on the loan agreement itself. The course will provide a clause-by-clause analysis of the loan agreement, highlighting the commercial issues which it gives rise to. You will be taken step-by-step through the documentation, from the early stages of offer letters, through to administrative provisions, representations, undertakings, defaults, transfer provisions, guarantees and security

'Advanced Loan Documentation' takes place over two days and builds on Module 1 - our ever popular “Loan Documentation” program. This module starts by looking at the different types of facilities and utilisations (accordions, letters of credit, ancillaries etc) which may be available and at the different considerations which will arise when lending to special purpose vehicles or to groups of companies, including discussions of upstream guarantees, centre of main interests and guarantor coverage ratios.

We will also discuss the differences between loan documentation based on corporate risk, asset risk, project risk and leveraged finance documentation. We will look at the role of the Agent and their documentary protections as well as reviewing the way in which the loan undertakings seek to preserve the lender’s position in the capital structure; the maintenance of value in the borrower; and the power of the lenders in the event of restructuring

We will consider different types of subordination; different situations in which the relations between lenders need to be regulated and the issues arising in those situations as well as reviewing key clauses from specimen intercreditor arrangements.

Finally, delegates will be given the opportunity to debate some of the most commonly discussed provisions in the documents (such as repeating representations, remediable events of default, cross default and material adverse change clauses) in a series of highly practical workshops. For this purpose delegates will be expected to have a working knowledge of the key clauses and issues discussed in module 1
